1. Acceptance of Terms

These Terms apply to all visitors, users, and others who access the Website or engage our business consulting services.

Apex Advisory Group provides professional business consulting services, which may include but are not limited to:

The specific scope of services, deliverables, timelines, and fees will be outlined in a separate written agreement or Statement of Work ("SOW") executed between Apex Advisory Group and the Client.
3. Nature of Services — Not Legal or Financial Advice
The information and consulting services provided by Apex Advisory Group are for general business advisory purposes only. Nothing provided by the Company constitutes legal, accounting, tax, or investment advice. You are encouraged to consult a licensed legal, financial, or tax professional for advice specific to your circumstances.
4. Guaranteed Refund Policy
4.1 Satisfaction Guarantee
Apex Advisory Group stands behind the quality of our consulting services. If you are not satisfied with a deliverable, you may request a refund subject to the conditions outlined below.
4.2 Eligibility for Refund
To be eligible for a refund, the following conditions must be met:

A written refund request must be submitted to info@apexadvisorygroup.ca within 14 calendar days of receiving the final deliverable.

The Client must clearly describe the specific aspect(s) of the deliverable that do not meet the agreed-upon scope of work.

The Client must have provided all necessary information, data, and access required to complete the engagement in a timely manner.

The Client must have cooperated with any reasonable revision requests made by Apex Advisory Group prior to requesting a refund.
4.3 Refund Process
Upon receipt of a valid refund request, Apex Advisory Group will:

Acknowledge the request within 3 business days.

Review the request against the agreed SOW within 7 business days.

Issue an approved refund within 14 business days via the original payment method, or as otherwise agreed in writing.
4.4 Non-Refundable Items
The following are not eligible for refund:

Services fully rendered and accepted by the Client without objection within the review period.

Out-of-pocket expenses incurred on behalf of the Client (e.g., third-party research fees, travel).

Work completed beyond the agreed SOW at the Client's request.

Deposits for cancelled engagements, unless otherwise agreed in writing.
5. Payment Terms
Payment terms, rates, and schedules will be specified in the applicable SOW or invoice. Unless otherwise agreed:

Invoices are due within 30 days of the invoice date.

Late payments may be subject to interest at a rate of 1.5% per month (18% per annum).

The Company reserves the right to suspend services for overdue accounts.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. Apex Advisory Group will not disclose Client information to third parties without prior written consent, except as required by law. Any separate Non-Disclosure Agreement (NDA) executed between the parties will govern confidentiality obligations in the event of a conflict.
7. Intellectual Property
All content on the Website — including text, graphics, logos, and images — is the property of Apex Advisory Group and is protected by applicable Canadian intellectual property laws. You may not reproduce, distribute, or use any Website content without our prior written consent.
Unless otherwise specified in the applicable SOW, deliverables created by Apex Advisory Group for a Client become the Client's property upon receipt of full payment. Pre-existing methodologies, tools, templates, and frameworks developed by the Company remain the exclusive property of Apex Advisory Group.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Apex Advisory Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Website or services, including but not limited to lost profits, lost revenue, or business interruption.
The Company's total liability for any claim arising out of or related to our services shall not exceed the total fees paid by the Client for the specific engagement giving rise to the claim during the six (6) months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Apex Advisory Group and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your breach of these Terms or your use of our services or Website.
10. Website Use
You agree to use the Website only for lawful purposes. You must not:

If unresolved within 30 days, disputes shall be submitted to binding arbitration in Edmonton, Alberta, in accordance with the Arbitration Act (Alberta), before a single arbitrator. The arbitrator's decision shall be final and binding on both parties.

Apex Advisory Group reserves the right to update or modify these Terms at any time without prior notice. The updated Terms will be posted on the Website with a revised effective date. 14. Termination of Engagement
Either party may terminate a consulting engagement upon written notice as specified in the applicable SOW. Upon termination, the Client shall pay for all work completed up to the termination date. The Company's rights and obligations regarding confidentiality, intellectual property, and limitation of liability shall survive termination.
15. Entire Agreement
These Terms, together with any applicable SOW or written agreement, constitute the entire agreement between you and Apex Advisory Group with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.
